Lifetime Deal & Marketplace Terms

1. Marketplace purchases & the parties

When you purchase CloviLegal through a third-party marketplace, that marketplace is an independent reseller and handles your payment, invoicing, and refunds under its own terms. The service itself is provided by CloviTek LLC ("CloviLegal", "we"). Your use of the service is governed by these terms and our Terms of Service; your purchase/refund is governed by the marketplace's terms.

2. What "Lifetime" means

• Lifetime access means access for the operational lifetime of the CloviLegal product — not the lifetime of the purchaser, and not a guarantee of perpetual operation.
• We intend to operate and support CloviLegal for the long term. However, we may modify, suspend, or discontinue the service (or any feature, plan, or integration) at our discretion. If we permanently discontinue the service, lifetime access ends at that time.
• Lifetime plans are tied to your account and are non-transferable and not heritable.
• Roadmap items and "coming soon" features are not guaranteed and are not part of any lifetime promise.

3. Your license & tier

• Each lifetime purchase grants one license bound to one account. The tier you purchased determines your features and usage limits.
• Where tier stacking is supported, additional codes raise your tier according to our published tier mapping.
• You may not resell, sublicense, share, rent, or transfer your license or account, and you may not pool one license across multiple businesses or users beyond your tier's seat limit. Violations may result in suspension or termination without refund.
• If a purchase is refunded, charged back, or cancelled by the marketplace, the associated license is deactivated.

4. AI usage & fair use

• AI features (document drafting, Clause DNA review) are subject to the per-tier usage limits shown for your plan. Limits exist because AI processing has real per-use cost.
• We may apply reasonable rate limits and may throttle, suspend, or terminate accounts engaged in abusive, automated, or excessive use beyond a tier's intended scope.
• Consumed AI usage is not refundable.

5. Refunds

Marketplace purchases are subject to that marketplace's refund policy (for example, a 60-day money-back guarantee where offered). To request such a refund, use your marketplace account; the refund is processed by the marketplace and your license is deactivated. Outside the marketplace's refund window, lifetime purchases are non-refundable except where required by law. See our Refund Policy.

6. Changes to the service

We may add, change, or remove features over time. Where a change materially reduces the core value of a paid lifetime plan, we will use reasonable efforts to grandfather existing lifetime customers or provide a comparable alternative, but we do not guarantee that any specific feature will remain available indefinitely.

8. Limitation of liability

To the maximum extent permitted by law, our total liability arising from a lifetime purchase is limited to the amount you actually paid for that purchase. We are not liable for indirect, incidental, or consequential damages. The service is provided "as is" and "as available."

9. Acceptable use & termination

Your use is subject to our Acceptable Use Policy. We may suspend or terminate accounts that violate these terms, abuse the service, or engage in fraudulent purchase/refund activity, without refund.

10. Governing law

These terms are governed by the laws of the State of Utah, United States, without regard to conflict-of-law rules.
